Terms of Service
Agreement
These Terms of Service ("Terms") govern your access to and use of websites, products, services, integrations, and APIs offered by ZON Inc. ("ZON," "we," "us," or "our"), including content at poweredbyzon.com (collectively, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Eligibility and accounts
You must have authority to enter these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for safeguarding account credentials and for activity under your account, except where caused by our gross negligence or willful misconduct.
Use of the Services
You agree to use the Services only in compliance with applicable law and these Terms. You will not:
- Probe, scan, or test vulnerabilities of our systems without authorization, or breach or circumvent security
- Use the Services to distribute malware, spam, or deceptive or unlawful content
- Attempt to gain unauthorized access to data, accounts, or networks
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer our software except where applicable law permits despite this limitation
- Use the Services in a way that violates third-party terms (for example platform or API provider rules)
Third-party integrations
The Services may integrate with third-party platforms (such as LinkedIn or identity providers). Your use of those integrations is also subject to the third party's terms and policies. We are not responsible for third-party services or their availability.
Intellectual property
The Services, including software, text, graphics, logos, and other content, are owned by ZON or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services as offered, these Terms do not grant you any ownership or license in our intellectual property.
Feedback
If you provide suggestions or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you, except where prohibited by law.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZON AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnity
You will defend, indemnify, and hold harmless ZON and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.
Suspension and termination
We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms or pose a security or legal risk. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may require additional notice where required by law. Continued use after the effective date of changes constitutes acceptance, except where prohibited by law.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable federal law of the United States, without regard to conflict-of-law principles. You agree that courts in Delaware have exclusive jurisdiction for disputes arising from these Terms or the Services, subject to mandatory consumer protections in your jurisdiction where they cannot be waived.
General
These Terms, together with the Privacy Policy, are the entire agreement between you and ZON regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
